End User License Agreement (EULA)

IMPORTANT — READ CAREFULLY: This End User License Agreement is a binding legal contract between you (either an individual or a single entity) and Gotham Paradise LLC for the use of the Pentaholic audio plugin, standalone software, and associated documentation (collectively, the "Software"). By installing, copying, or utilizing the Software, you expressly agree to be bound by these terms.

1. Grant of License & Installation

Upon authorized purchase, Gotham Paradise LLC grants you a personal, non-exclusive, and non-transferable right to use Pentaholic.

• Individual Users: You may install and activate the Software on up to two (2) computers you personally own and operate (e.g., a primary studio desktop and a mobile live-performance laptop). Simultaneous operation on both machines is prohibited. Should you sell or dispose of your hardware, the Software must be uninstalled prior to transfer.
• Institutions & Studios: Commercial facilities may install the Software on a single designated machine to be utilized by multiple users, or alternatively, hold a single license for one designated user operating across multiple facility machines.

2. License Transfers

You reserve the right to transfer your Pentaholic license to a third party. To validate this transfer, the original owner must initiate the process through the user account system on the Gotham Paradise website. This ensures the new owner is registered for future updates and technical support. Upon completion of the transfer, the original owner must permanently remove all copies of the Software from their devices and forfeits all usage rights.

3. Restrictions on Use

• Reverse Engineering & Decompilation: You are strictly prohibited from reverse engineering, decompiling, or disassembling the Software's code, DSP algorithms, or security protocols.
• Asset Separation: Pentaholic is licensed as a unified whole. Its component assets, including graphical UI elements and audio models, may not be extracted, modified, or redistributed independently.
• Unauthorized Distribution: You may not host, distribute, or sub-license the Software without explicit written authorization from Gotham Paradise LLC. No license is granted to redistribute the software bundled within other products, including digital audio workstations (DAWs), sample packs, or video games.

4. Intellectual Property & User Output

All title, trade secrets, and copyrights in and to Pentaholic are the exclusive property of Gotham Paradise LLC. The Software is protected by domestic and international copyright laws.

Gotham Paradise LLC makes absolutely no claim of ownership over the musical compositions, audio recordings, or sound designs you create using Pentaholic. All audio output generated legally by the user remains your sole, unencumbered intellectual property.

5. Hardware Emulation & Trademark Disclaimers

Gotham Paradise LLC and Pentaholic are not affiliated with, endorsed by, or sponsored by Gleeman Instrument Co. or the original creators of the Gleeman Pentaphonic synthesizer. Any reference to specific hardware brands, names, or models is strictly for historical identification and descriptive purposes regarding the acoustic behaviors modeled by our software.

6. Disclaimer of Warranty & Liability

Please read carefully:

Pentaholic is provided "As Is," without warranties of any kind, whether express or implied, including but not limited to warranties of performance or merchantability. Gotham Paradise LLC does not guarantee that the software will be error-free or operate without interruption across all hardware configurations.

By installing this software, you agree to assume all risks associated with its use. In no event shall Gotham Paradise LLC be held liable for any direct, indirect, incidental, or consequential damages (including, but not limited to, loss of audio data, project corruption, hardware malfunction, or business interruption) arising out of the use or inability to use the Software.

7. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without reference to its conflict of laws principles.
